honert advises ATHOS on co-investment to acquire stake in DESOTEC

A team from honert, consisting of Dr. Kai-Klemens Wehlage, Judith Kutter, Bastian Hosp, and Verena Wackerbauer, provided comprehensive legal advice to ATHOS on a partnership with EQT Future Fund, among others, for the acquisition of a majority stake in DESOTEC.

DESOTEC, founded in 1990 and headquartered in Roeselare, Belgium, is now one of the leading international providers of modern environmental technologies. With its circular “Filtration-as-a-Service” approach—an integrated solution comprising mobile filter systems, logistics, and in-house reactivation of activated carbon—DESOTEC enables companies to meet increasingly stringent environmental and emission requirements efficiently and economically. The company operates the world’s largest fleet of mobile (re)activated carbon filters and supports more than 2,000 customers in Europe and North America in removing pollutants such as VOCs, PFAS, and hydrogen sulfide from air, water, and soil.

As part of the transaction, a majority stake will be acquired by private equity funds managed by Blackstone, which will remain a minority investor in the company.

The shareholders plan to support the company’s dynamic growth in Europe, particularly in markets where it has not yet achieved widespread penetration, while also accelerating the market expansion in North America that began in 2023.
