Corporate / M&A
One of our core competencies is advising clients on all aspects of M&A transactions, investments in businesses, the establishment of joint ventures, and other corporate law issues.
M&A transactions present complex challenges that require a high degree of competence and experience. Our legal advice focuses on early planning – also as far as tax-optimized transaction structures are concerned –, careful review of the target company (legal and tax due diligence review), drafting and negotiating contracts, and addressing financing aspects.
In the area of corporate law we assist clients not only with drafting articles and bylaws and partnership agreements, but also provide support at shareholders’ meetings and for shareholder disputes.

Tax
Tax advice and goal-oriented tax planning have long been core competencies of our firm. Several of our attorneys are also specialist tax lawyers (Fachanwalt für Steuerrecht) as well as certified tax advisors (Steuerberater).
We represent clients in complex reorganiszations/restructurings of corporate groups, providing advice on all corporate and tax issues, and we also advise wealthy individuals on all aspects of asset management and estate planning. Moreover, we provide legal counsel on self-reporting of unreported and/or under-reported tax liability to avoid criminal prosecution.

Litigation
We represent our clients before all courts of law as well as before national and international arbitration bodies. One of our litigation specialties is the strategic defense of class actions brought by investors. Thanks to our extensive experience, we are also regularly retained to serve as arbitrators in arbitration proceedings that fall within our areas of expertise.

We advise our clients on all labor and employment law issues, for example labor law and co-determination issues arising in connection with M&A transactions or restructuring measures. We also assist with the “correct” transfer of pension agreements in compliance with employment and tax laws, as well as with the design and implementation of employee and management participation plans.
