Incorporation and corporate structuring

We handle corporate housekeeping for our clients, i.e., the management of all corporate law matters pertaining to the company. We assist with the development of internal corporate structures through articles of association and rules of procedure for the management, management board, and supervisory board. Business owners and high-net-worth individuals rely on our services to structure business and estate succession—including inter vivos asset transfers, wills, inheritance agreements, and estate settlements. We also assist with the corporate structuring and implementation of family pools, family constitutions, and family companies for estate planning purposes.

Corporate governance

We assist with shareholder meetings, and help publicly traded and private stock corporations prepare and hold annual shareholder meetings. After shareholder meetings, we represent clients in any actions to set aside shareholder resolutions and represent them in shareholder appraisal actions. In particular for publicly traded corporations, we handle corporate governance matters, such as declarations of conformity, corporate governance reports, and compensation reports.

As part of our practice, we also advise on the preparation and holding of meetings by the management, management board, or supervisory board. In addition, we counsel clients on all legal issues arising in connection with the management, management board, supervisory board, or executive board. Companies, management board members, managing directors, and supervisory board members seek our guidance on liability issues.

Capital and structural measures

We assist companies and corporate groups with the preparation and implementation of capital measures as well as with all structural measures governed by German law on corporate groups or corporate reorganizations (control and profit transfer agreements, squeeze-outs, mergers, demergers, spin-offs, and changes in corporate form—including reorganization into a European stock corporation (Societas Europaea)). When implementing the aforementioned structural measures, our clients also benefit from our tax law expertise and experience.

A key focus is on providing legal support for annual shareholder meetings, including convening and holding meetings and compliance with followup obligations under capital markets law. We advise on capital measures and share buybacks, going public and going private, as well as takeover scenarios. In addition, we represent our clients in actions for annulment of shareholder resolutions, including court approval actions and shareholder appraisal actions.
