honert advised the core shareholders of SMT Scharf AG (WKN: A3DRAE; ISIN: DE000A3DRAE2), Shareholder Value Beteiligungen AG, Share Value Stiftung and Shareholder Value Management AG on the conclusion of binding agreements with Yankuang Energy Group Company Limited, China, and other shareholders on the acquisition of a total interest of approx. 52.66% in SMT Scharf AG at a price of EUR 11.10 per share.

This price per share is subject to a fixed adjustment mechanism depending on finally described variables until the closing of the transaction, which may lead to a reduction of the price per share. The closing of the agreements is still subject to the fulfillment of customary closing conditions, in particular the conclusion of public law investment control proceedings in Germany and the granting of official approvals in other jurisdictions of subsidiaries of SMT Scharf AG, as well as the approval of the relevant Chinese authorities.

Yankuang Energy Group Company Limited is based on the industries of mining, high-end chemicals and new materials, new energy, high-end equipment manufacturing and intelligent logistics. It is a large Chinese energy company listed on four major stock exchanges in China and beyond (Shanghai, Hong Kong, New York, Australia).

At the same time, SMT Scharf AG announced that it intends to apply for admission of the shares of SMT Scharf AG to the Regulated Market of the Frankfurt Stock Exchange and to the sub-segment of the Regulated Market with additional post-admission obligations (Prime Standard) after the agreements have been executed.
