Mergers & Acquisitions (M&A)
We counsel our clients on M&A transactions, financing rounds in the venture capital arena, management participation rights and other participation rights, as well as on establishing joint ventures in Germany and abroad.
M&A transactions are complex in nature, requiring competent and experienced legal counsel. Our legal advice focuses on early planning – also as far as tax-optimized transaction structures are concerned –, careful review of the target company (legal and tax due diligence review), drafting and negotiating contracts, and addressing financing aspects.
After successful closing of the transaction, we will assist you with all post-acquisition measures. If necessary, we will also enforce or defend claims for damages in (arbitration) court proceedings (post-merger litigation).
For legal issues that fall outside the scope of our own expertise or for cross-border transactions, we associate reputable law firms that have the requisite legal expertise. When needed, we are able to draw on and coordinate cases with an extensive network of other law firms. That way, our clients receive legal services for their transactions from a single source, no matter what is involved.
We also have extensive experience with the acquisition of businesses or parts of businesses in crisis or insolvency. Such transactions have their own “rules of the game,” knowledge of which is key to success.
