A team from honert has provided comprehensive legal advice to the shareholders of CCS 365 GmbH and U-S-C GmbH on the sale of shares to Lupcap GmbH.

CCS 365 GmbH is an established managed service provider and certified Microsoft Cloud Solution Partner. The company offers comprehensive services covering all aspects of cloud IT infrastructures, Microsoft applications, modern communication and IT security. This range of services is complemented by U-S-C GmbH, which supports companies in managing their license landscapes efficiently and legally compliant by providing independent consulting in the area of software asset management and conducting license audits.

Lupcap GmbH, an investment company owned by FinTech entrepreneur Konstantin Wolff, focuses on the acquisition of companies in the areas of managed services and license management. With regard to this portfolio, CCS 365 GmbH and U-S-C GmbH represent a strategically suitable addition to the company.

The brands U-S-C and CCS 365 will remain after the change in ownership. At the same time, a targeted expansion of business activities is planned. The managing partners of both companies had already decided to initiate an orderly succession in 2024. Thanks to the early planning and structured implementation, the operational change of shareholders was completed within a short period of time – and thus significantly faster than in comparable transactions in the industry.
